Terms of Service

These Terms of Service ("Terms") govern your use of the website and freelance development services provided by Alexe Iulian, operating as IulianDev ("I", "me", "my", "Developer").

By accessing the website, submitting a contact form, or engaging my services, you ("Client", "you", "your") agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the website or services.

These Terms constitute a legally binding agreement between you and IulianDev. For specific projects, additional terms may be agreed upon in writing, which will supplement these Terms.

IulianDev provides professional freelance development services, including but not limited to:

• Web Development: Custom websites, web applications, landing pages, and e-commerce solutions.
• Front-end Development: User interfaces using modern frameworks such as React, Next.js, and Vue.js.
• Back-end Development: Server-side applications, APIs, and database solutions.
• Bug Fixes & Maintenance: Debugging, performance optimization, and ongoing maintenance services.
• Consultation: Technical advice, code reviews, and project planning.
• Custom Projects: Tailored solutions based on specific client requirements.

The specific scope, deliverables, and timeline for each project will be discussed and agreed upon before work begins.

Pricing

Prices for services are provided as quotes based on project requirements. All prices are in the currency specified in the quote (typically EUR or USD) and are exclusive of any applicable taxes unless otherwise stated.

Payment Methods

Payments are processed securely through SumUp. Accepted payment methods include major credit and debit cards. Alternative payment methods may be arranged upon request.

Payment Schedule

• Small projects (under €500): Full payment may be required upfront before work begins.
• Medium projects (€500 - €2,000): 50% deposit upfront, 50% upon completion.
• Large projects (over €2,000): Payment milestones will be agreed upon based on project phases.

Refund Policy

Deposits are non-refundable once work has begun. If a project is cancelled by the Client after work has commenced, payment will be due for all work completed up to the cancellation date. Refunds for completed work are not provided unless there is a material failure to deliver agreed-upon functionality.

Late Payments

Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may incur a late fee of 5% per month on the outstanding amount. Work may be paused on projects with overdue payments.

Deliverables

Specific deliverables will be outlined in the project proposal or agreement. All deliverables will be provided in the format and manner agreed upon at the project's outset.

Timelines

Estimated timelines are provided in good faith based on project complexity and current workload. Timelines may be affected by:

• Delays in receiving required materials or feedback from the Client
• Scope changes or additional feature requests
• Unforeseen technical challenges
• Third-party dependencies

I will communicate any significant timeline changes promptly.

Revisions

Unless otherwise specified, project quotes include up to two (2) rounds of revisions. Additional revisions beyond this scope may be billed at an hourly rate to be agreed upon.

Scope Changes

Any changes to the agreed project scope must be discussed and approved in writing. Scope changes may affect the project timeline and cost, which will be communicated before proceeding.

Client Ownership

Upon full payment, the Client receives full ownership and intellectual property rights to the custom code and assets created specifically for their project. This includes:

• Custom source code written for the project
• Custom designs and graphics created for the project
• Project-specific documentation

Developer Rights

I retain the right to:

• Display the completed project in my portfolio (unless confidentiality is agreed upon in writing)
• Reuse general techniques, knowledge, and non-proprietary code patterns developed during the project
• Use any pre-existing code, libraries, or frameworks that I brought to the project under their respective licenses

Third-Party Components

Projects may incorporate open-source libraries, frameworks, or third-party services that are subject to their own licenses. The Client agrees to comply with all applicable third-party licenses.

To ensure successful project delivery, the Client agrees to:

• Provide Required Materials: Supply all necessary content, assets, credentials, and information in a timely manner.
• Timely Feedback: Respond to questions and provide feedback within a reasonable timeframe (typically within 5 business days) to avoid project delays.
• Clear Communication: Communicate requirements, preferences, and concerns clearly and promptly.
• Respect Boundaries: Respect working hours and communication preferences as discussed.
• Accurate Information: Ensure all provided information and materials are accurate and do not infringe on third-party rights.
• Testing & Approval: Review and test deliverables promptly and provide formal approval upon satisfaction.

To the maximum extent permitted by law:

• IulianDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Total liability for any claims arising from the services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
• I am not responsible for any damages or losses resulting from third-party services, hosting providers, or domain registrars.
• I do not guarantee specific business results, rankings, or outcomes from the delivered work.

The Client agrees to indemnify and hold harmless IulianDev from any claims, damages, or expenses arising from the Client's use of the deliverables, provided materials, or breach of these Terms.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement:

• Client Information: I will not disclose Client business information, trade secrets, or project details to third parties without consent.
• Project Confidentiality: If requested, I can agree to keep the entire project confidential, including not displaying it in my portfolio.
• Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

For projects requiring enhanced confidentiality, a separate Non-Disclosure Agreement (NDA) can be executed upon request.

Termination by Client

The Client may terminate the engagement at any time by providing written notice. Upon termination:

• Payment is due for all work completed up to the termination date
• Deposits are non-refundable
• Completed work and materials will be delivered upon receipt of all outstanding payments

Termination by Developer

I reserve the right to terminate the engagement if:

• Payment terms are repeatedly violated
• The Client fails to provide necessary materials or feedback
• The working relationship becomes untenable
• The project scope changes significantly from the original agreement

In such cases, I will provide reasonable notice and deliver any completed work for which payment has been received.

These Terms shall be governed by and construed in accordance with the laws of the European Union and the laws of Romania, without regard to conflict of law principles.

Any disputes arising from these Terms or the services provided shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the competent courts of Romania.

For Clients outside the EU, these Terms shall still apply, and any disputes shall be resolved under the jurisdiction specified above unless otherwise agreed in writing.
